This Agreement governs the terms and conditions of the use of SoFresh Bin Cleaning LLC, a Georgia limited liability company (“SoFresh”) services and is between you (“you” or “customer”), as an authorized user of such services, and SoFresh (the “Service”).
AGREEMENT TYPES
Customer acknowledges that SoFresh offers different service packages and that each package has unique terms and conditions.
One-Time Cleaning – All One-Time Cleaning must be pre-paid prior to service. Once SoFresh has completed the Service, no refunds will be issued. To receive a refund for pre-paid Services, the customer must cancel the Service in writing by 2:00 pm EST at least two (2) days, forty-eight (48) hours, prior to receiving Service. Such notifications may be emailed to support@sofreshbins.com.
Monthly plans have a minimum of (7) seven paid Services, Quarterly plans have a minimum of (5) five paid Services, and Bi-Annual plans have a minimum of (3) three paid Services. Customer may not skip, postpone, or change the Service frequency until all Services have been completed. Customer will receive either an email, SMS message, or both indicating when future Services will be performed. Payment for the Monthly, Quarterly, or Bi-Annual Package will be processed seven days prior to service. For example, if the Customer is scheduled to receive Service on June 15th, then payment will be charged on June 8th. The Customer acknowledges that canceling Services prior to the completion of all seven (7) monthly plan, five (5) quarterly plan, or three (3) bi-annual plan Services for any reason will result in a one-time cancellation fee of fifty dollars ($50.00).
The Customer acknowledges that in order to receive Service, payment must be made prior to bin cleaning. Payment can be made via credit or debit card. Neither checks nor cash are accepted. The customer further acknowledges that SoFresh reserves the right to charge any accrued fees, charge back fees, including cancellations fees, to the card of file. Customer Acknowledges that a minimum $20 fee will be charged for all chargebacks or disputes initiated by the Customer. If Customer is sent to a third party for collections, Customer acknowledges it will be responsible to pay any and all collection fees.
Electronic Communication – The customer agrees to receive electronic communication for purposes of scheduling, payment, promotions, and reminders. Electronic communication can be either via email or SMS messaging.
The Services are intended to be completed on a “next day” basis. The customer, therefore, agrees to leave bins trash free and easily accessible either curbside or visible near the front of the home on the scheduled Service day. Bins that are not accessible, or with loose trash or containing more than two (2) secure bags, will not be cleaned. If bins are not accessible on the scheduled Service day, as set forth in accordance with the previous sentence, then refunds will not be issued. SoFresh may offer at its own discretion one (1) free re-service if bins were full or not accessible on the scheduled Service day. SoFresh also reserves the right to refuse service if bins contain oil, wet paint, hazardous materials, or any other item that could damage equipment or not legally be disposed of via normal processes.
Customer acknowledges certain stains and debris such as paint, tree sap, etc are nearly impossible to remove and SoFresh makes no guarantees or warranties for such items.
The customer acknowledges that circumstances such as holidays, weather, delay in trash pickup, equipment failure, route optimization, etc. may require the need to reschedule Services for an alternative date. As such, SoFresh reserves the right to reschedule Services as needed, in its commercially reasonable discretion.
SoFresh’s maximum liability for any damages or losses incurred by a customer as a result of or arising in connection with SoFresh’s Services shall be limited to the amount that customer has paid to SoFresh for the Services in the previous twelve (12) months. Customer acknowledges that the prices SoFresh charges for the Services are dependent on the foregoing sentence, and such limitation of liability is an integral part of these terms and conditions. SoFresh represents that it carries sufficient liability insurance with reputable insurers to cover its potential liabilities hereunder.
These terms and conditions contain the entire agreement and understanding between the parties with respect to the subject matter hereof, and supersedes and replaces any prior agreement or understanding, whether written or oral. All amendments and modifications to these terms shall be in writing and signed by the parties.
Any waiver of any provision of these terms and conditions, or any failure by a party to insist upon strict performance of these terms, shall not constitute or be construed as a waiver of any other provision of these terms or any right of such party to insist upon strict performance at other times or in other contexts.
These terms and conditions will be interpreted in accordance with the laws of the State of Georgia, without regard to its conflict of law’s provisions. In the event of a dispute hereunder, the parties will negotiate in good faith for a period of at least fifteen (15) days, and if a resolution is achieved, such will be reduced to a writing and signed. If a resolution is not made, then either party may initiate legal proceedings exclusively in any competent state or federal court situated in Forsyth County, Georgia.
From time to time, and in Sofresh’s commercially reasonable discretion, SoFresh may update, modify, add to, take away, or otherwise amend these Terms and Condition, and such amended Terms and Conditions will be posted to SoFresh’s website. Any amended Terms and Conditions posted to SoFresh’s website will immediately apply to all Services and customers.

1.) Service Providers: We may share your information with trusted third-party service providers who assist us in delivering our services, such as payment processors, email delivery services, customer support providers, and IT service providers. These service providers only receive information essential for performing their tasks and are contractually obligated to maintain the confidentiality and security of your data.
2.) Business Transfers: In the event of a merger, acquisition, reorganization, or sale of our business, your information may be transferred as part of the transaction. We will notify you of any such change and outline your options regarding your personal data at that time.
3.) Legal Compliance and Protection: We may disclose your information if required by law, such as in response to a subpoena, court order, or other governmental requests. 5.) All the above categories exclude text messaging originator opt-in data and consent; this information will not be shared with any third parties, excluding aggregators and providers of the Text Message services.
